These Terms of Service (“Terms”) constitute a legally binding agreement between you and EC TECH LLC (“we”, “our”, or “us”), operating as Top Shelf. By accessing or using Top Shelf, including creating an account, submitting content, or browsing the platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use Top Shelf.
We reserve the right to update these Terms at any time. Material changes will be communicated to you at least 14 days in advance via the email address associated with your account, and we may require your affirmative acknowledgment before material changes take effect. For non-material changes, your continued use of Top Shelf after the updated Terms have been posted constitutes your acceptance of those changes.
You must be of legal drinking age in your country of residence to use Top Shelf. You must also be at least 13 years of age. By creating an account, you represent and warrant that you meet both of these requirements. Age verification relies on self-certification at account creation. If we become aware that an account belongs to someone who does not meet these requirements, we will terminate that account immediately and delete associated data as soon as reasonably practicable.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at admin@top-shelf.app if you become aware of any unauthorized use of your account.
You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You may not create an account on behalf of another person without their authorization, impersonate any person or entity, or use a username that is offensive, misleading, or that infringes any third-party rights.
You may not create more than one account per person. We reserve the right to merge or terminate duplicate accounts.
Top Shelf is currently provided free of charge. We reserve the right to introduce paid features, tiers, or subscriptions in the future. The introduction of any paid features will be governed by additional terms presented at the time of purchase. You will not be charged for any feature without your explicit consent at checkout.
You agree to use Top Shelf only for lawful purposes and in accordance with these Terms. You agree not to use Top Shelf in any way that could damage, disable, overburden, or impair the service or interfere with any other party's use of the service.
You agree not to engage in any of the following conduct on or through Top Shelf:
Violation of any of the above may result in immediate account termination without notice and, where appropriate, referral to law enforcement authorities.
Top Shelf allows you to submit, post, and share content including ratings, reviews, tasting notes, flavor tags, lists, author notes, and other materials (“User Content”). You retain ownership of all User Content you submit.
By submitting User Content to Top Shelf, you grant EC TECH LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, modify, and create derivative works from your User Content in connection with operating and promoting the service. This includes the right to feature your reviews, ratings, or lists in marketing materials, social media, app store listings, and other promotional contexts. Upon account deletion, this license terminates except with respect to anonymized content that is retained in accordance with our Privacy Policy, for which the license continues indefinitely.
You represent and warrant that you own or have the necessary rights to submit your User Content, that your User Content does not infringe any third-party rights, and that your User Content complies with these Terms and all applicable laws.
We reserve the right to remove any User Content at our discretion, without notice, for any reason including content that violates these Terms or that we determine is harmful to the community, other users, or the reputation of Top Shelf.
The value of Top Shelf depends on the authenticity of its reviews and ratings. We take review integrity seriously. You agree that all ratings and reviews you submit reflect your genuine personal experience with the spirit in question. The following are expressly prohibited and may result in immediate account termination:
We reserve the right to investigate suspected review manipulation and to remove reviews, adjust ratings, or terminate accounts where manipulation is found or reasonably suspected.
All content, features, and functionality of Top Shelf that is not User Content — including but not limited to the Top Shelf name, crown logo, design, software, text, graphics, and editorial collections — is owned by EC TECH LLC and is protected by copyright, trademark, and other applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of Top Shelf or its content without our express written permission.
The Top Shelf name and logo are trademarks of EC TECH LLC. You may not use our trademarks without our prior written consent.
We respect the intellectual property rights of others and expect our users to do the same. If you believe that content on Top Shelf infringes your copyright, please send a written notice to admin@top-shelf.app containing all of the following:
Upon receiving a valid DMCA notice, we will remove or disable access to the allegedly infringing content and notify the user who submitted it. Users who repeatedly infringe third-party copyrights may have their accounts terminated.
Top Shelf may contain links to third-party websites, retailer listings, or other external content. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party websites or services. Your use of third-party services is governed by their own terms and policies. We are not responsible for any transactions you conduct with third-party retailers linked from Top Shelf.
Retailer links on Top Shelf may include affiliate tracking parameters. Where affiliate relationships exist, we may receive a commission if you make a purchase through a linked retailer. We will clearly disclose affiliate relationships in accordance with FTC guidelines. Affiliate relationships do not influence the ratings, reviews, or editorial content on Top Shelf.
We reserve the right to suspend or terminate your account and access to Top Shelf at any time, for any reason, with or without notice. Reasons for termination may include but are not limited to violation of these Terms, suspected fraudulent or harmful activity, extended periods of inactivity, or at our sole discretion.
You may delete your account at any time through your account settings. Upon deletion, your personal identifiers will be removed in accordance with our Privacy Policy. Anonymized reviews and ratings may be retained as described therein.
Upon termination of your account for any reason, your license to use Top Shelf ends immediately. Sections 6, 7, 8, 9, 12, 13, 14, 15, 16, and 17 of these Terms survive termination.
Top Shelf is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Reviews, ratings, and other User Content on Top Shelf represent the personal opinions of individual users and do not constitute professional advice of any kind. We do not verify the accuracy of User Content and are not responsible for any reliance you place on it.
Top Shelf is a discovery and collection platform. We do not sell, distribute, or facilitate the sale or distribution of alcohol. Any decisions you make regarding the purchase or consumption of alcohol are solely your own responsibility. Please drink responsibly and in accordance with the laws of your jurisdiction.
To the fullest extent permitted by applicable law, EC TECH LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to your use of or inability to use Top Shelf, including but not limited to loss of data, loss of profits, loss of goodwill, or service interruption, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total cumulative liability to you for any claims arising out of or relating to these Terms or your use of Top Shelf shall not exceed the greater of (a) the total amount you have paid to EC TECH LLC in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100), except to the extent prohibited by applicable consumer protection law. Where Top Shelf is provided free of charge, clause (a) evaluates to zero and clause (b) applies.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless EC TECH LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of Top Shelf, your User Content, your violation of these Terms, or your violation of any rights of another person or entity.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at legal@top-shelf.app and give us 30 days to attempt to resolve the dispute informally. Most concerns can be resolved quickly this way.
Binding Arbitration
If informal resolution fails, you and EC TECH LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Top Shelf shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in King County, Washington, or by telephone or videoconference at either party's request. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
You and EC TECH LLC each agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and EC TECH LLC each waive any right to a jury trial.
Arbitration Opt-Out
You may opt out of the binding arbitration agreement by sending written notice to legal@top-shelf.app within 30 days of first creating your account. For users who created an account prior to these Terms taking effect, the 30-day opt-out window runs from the Last Updated date shown at the top of this page. Your notice must include your full name, username, and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved exclusively in the state or federal courts located in King County, Washington, and you and EC TECH LLC each consent to personal jurisdiction in those courts.
Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Small claims court actions that qualify under applicable rules are also exempt from arbitration.
These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Subject to the arbitration agreement in Section 15, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in King County, Washington.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and EC TECH LLC regarding your use of Top Shelf and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will otherwise remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any provision of these Terms will only be effective if made in writing and signed by an authorized representative of EC TECH LLC, or confirmed in writing via email from an authorized EC TECH LLC email address.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
These Terms do not create any partnership, joint venture, agency, franchise, or employment relationship between you and EC TECH LLC.
